How it works
This calculator adds up the statutory fees that the Department of the Registrar of Companies (DRC, the ROC) charges for the filings a Sri Lankan company makes after incorporation. The biggest one is the annual return on Form 15 — every active company must file it each year. The fees here are fixed amounts gazetted in the DRC Table of Fees under the Companies Act No. 07 of 2007; there is no estimation or banding, so the maths is a transparent additive lookup.
Each filing maps to a fixed fee constant from the DRC schedule:
- Annual return (Form 15): Rs 6,000
- Document registration (Form 13 / 20 / 6): Rs 2,000 each
- Company name change: Rs 2,000 approval + Rs 2,000 registration
- Charge / mortgage / debenture: Rs 7,500 per charge
- Certified copy / certification: Rs 1,000 each
- File inspection / search: Rs 1,000 each
The total is the sum of every selected line — for counted items the unit fee is multiplied by the quantity you enter. The result is cross-checked two independent ways (a structured per-filing walk and a flat schedule sum); the "Cross-checked" badge confirms both agree to the rupee. If you toggle VAT on, the tool adds an estimated line at Sri Lanka's current 18% standard rate (in force since 1 January 2024) — the eROC payment screen shows the exact VAT applied to each transaction, so treat the VAT line as an estimate.
On the late-filing side, the Companies Act (ss. 131–133) makes failure to file the annual return an offence: the company and every officer in default may be fined on conviction. There is no flat gazetted rupee penalty, so this tool shows a compliance warning rather than inventing a figure. The registration fee itself does not change because a return is late.
